1. Introduction and Service Provider

BanaNext is an operational and data management platform dedicated to export banana plantations, provided by KAILUMI TECH COMPANY LIMITED. By accessing our website or utilizing the platform, you agree to these terms.

2. Scope of Applicability

These Terms apply to website access at bananext.com and usage of the BanaNext platform. For enterprise customers who have executed a direct B2B Service Contract with KaiLumi Tech, the provisions of that contract (SLA, pricing, service specifications, and specific liability caps) take precedence in the event of any discrepancies with these public terms.

3. User Accounts

• BanaNext does not offer open public user sign-ups. Accounts are provisioned solely by the Farm Administrator (authorized representative of the contracted farm) for authorized staff (Supervisors, Team Leaders).
• Each account is associated with a specific tenant farm, ensuring strict multi-tenant data isolation across farming operations.
• You are solely responsible for maintaining login credential confidentiality and must not share credentials or grant unauthorized third-party access.
• The Farm Administrator is responsible for managing the account lifecycle of subordinates (provisioning, role adjustment, suspension, and deletion).

4. Acceptable Use and Prohibited Activities

• The service must be used solely for legitimate banana plantation management operations within the scope of your active service agreement.
• Users must not intentionally submit falsified field records to deceive export audit inspections or statutory regulatory authorities.
• Unauthorized attempts to access other farms' data, probe system vulnerabilities, or disrupt technical infrastructure are strictly prohibited.
• KaiLumi Tech reserves the right to suspend non-compliant accounts following reasonable notice (except in emergencies threatening system security).

5. Service Plans and Billing

• Currently, BanaNext is delivered via bilateral enterprise B2B service contracts with each plantation client, comprising a one-time onboarding fee and recurring subscription fees.
• Payments are conducted via direct corporate bank transfers as specified in the service agreement - online retail payment gateways are currently not activated.
• Refund and cancellation policies are governed individually by each enterprise contract; a blanket consumer refund policy is not offered at this stage.
• When public self-service tiers with online checkout are introduced, KaiLumi Tech will update this section with standardized pricing, refund, and cancellation terms, providing at least 30 days prior notice to existing clients.

6. Intellectual Property Rights

• The platform, software architecture, source code, 'BanaNext' trademarks, and associated documentation are the exclusive intellectual property of KAILUMI TECH CO., LTD.
• Farm operational data and account records entered into the system remain the property of the customer/plantation; you grant KaiLumi Tech a limited license to process such data strictly as required to provide platform services in accordance with our Privacy Policy.

7. Limitation of Liability

• The platform is provided on an 'as-is' and 'as-available' basis. While KaiLumi Tech strives for high availability and performance, we do not warrant uninterrupted or error-free continuous operation.
• The accuracy of operational dashboards, yield forecasts, and export traceability certificates depends entirely on raw inputs logged by farm users. KaiLumi Tech disclaims liability for consequences arising from erroneous, omitted, or fraudulent user data entries.

8. Indemnification

You agree to defend, indemnify, and hold harmless KaiLumi Tech against any claims, losses, or legal liabilities arising from your unauthorized use of the platform, violation of these terms, or infringement of third-party rights.

9. Termination

• Clients may terminate service usage in accordance with the termination clauses set forth in their direct B2B Service Contract.
• KaiLumi Tech reserves the right to suspend or terminate accounts in material breach of these terms following formal notification.
• Upon termination, data is governed by the retention policies outlined in our Privacy Policy.
• Requests to expunge all plantation data during the active contract term require authorized written instruction from the client's legal representative and do not waive outstanding contract fee obligations unless mutually agreed in writing.
• Fiscal and accounting vouchers related to service transactions are retained under statutory obligations (minimum 10 years per Vietnamese Accounting Law) and are exempt from deletion requests.

10. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Socialist Republic of Vietnam. Any disputes shall first be resolved through good-faith negotiation; failing which, disputes shall be submitted to the competent courts of Vietnam.

11. Modifications to Terms

KaiLumi Tech reserves the right to amend these Terms as required by product updates or legislative developments. Material amendments will be communicated via the website or registered email. Continued use of the platform constitutes acceptance of revised terms. The latest effective date is shown at the top of the page.
